TERMS AND CONDITIONS FOR COMPANIES PITCHING AT VANTEC ANGEL NETWORK


These Terms and Conditions ("Agreement") govern the participation of your company ("you," "your," or "Company") in VANTEC Angel Network Inc. ("VANTEC") and in the pitch events hosted by VANTEC. By submitting your application and participating in a pitch event, you agree to comply with the following terms and conditions.

1. Acceptance of Terms

By applying to pitch at an event organized by VANTEC, you acknowledge that you have read, understood, and agree to these Terms and Conditions. If you do not agree, you may not proceed with your application or participation in an event.

2. Eligibility to Pitch

  • You must be a legally registered company with a valid business structure in your jurisdiction.

  • You must provide accurate, up-to-date, and complete information about your company, including your business model, financials, and other relevant materials. This information is collected through VANTEC’s private, member-only deal room on Dealum.

  • VANTEC reserves the right to approve or deny any application at its sole discretion. Acceptance of your application does not guarantee investment or any specific outcomes.

3. Pitch Process

  • Your participation in a pitch event is subject to approval by VANTEC, and VANTEC reserves the right to select companies based on its internal criteria.

  • Pitch presentations should adhere to the guidelines set by VANTEC, including time limits, content requirements, and format specifications.

  • VANTEC may request additional materials or information from you in advance of the event. You agree to provide these materials promptly and accurately.

4. Presentation Content

  • You are solely responsible for the content of your pitch, including any representations, statements, or promises you make during the presentation.

  • You must ensure that all information provided in your pitch is truthful, accurate, and not misleading. VANTEC does not verify or endorse the accuracy of the information presented.

  • Your presentation must not include offensive, defamatory, or inappropriate content. VANTEC reserves the right to terminate your presentation if it deems your content to be in violation of these standards.

5. Investment Due Diligence

  • Any investment discussions, negotiations, or agreements that arise from your pitch are your sole responsibility. VANTEC does not participate in or oversee due diligence, negotiations, or investment agreements.

  • You agree that it is your responsibility to conduct due diligence on any potential investors who show interest in your company. Similarly, investors will conduct their own due diligence on your business.

6. No Guarantee of Investment

  • Participation in a pitch event does not guarantee investment from Network members or third parties. VANTEC provides a platform for introductions, but the decision to invest is made solely by individual investors.

  • VANTEC does not endorse any specific companies or investment opportunities presented during its events.

7. Confidentiality

  • The pitch events are open to Network members and other invited attendees, and VANTEC does not require attendees to sign non-disclosure agreements (NDAs). As a result, there is no guarantee of confidentiality for any information you disclose during your presentation.

  • You are responsible for protecting any proprietary or sensitive information you do not wish to make public. If confidentiality is important, it is your responsibility to secure NDAs directly with interested parties before disclosing sensitive information.

8. Use of Media and Recordings

  • By participating in a pitch event, you grant VANTEC the right to record, photograph, and/or video you and your presentation. You agree that VANTEC may use these recordings, photographs, or video for promotional, marketing, and educational purposes without compensation to you.

  • VANTEC reserves the right to share event recordings or live streams on its website, social media, or other platforms.

9. Intellectual Property

  • You acknowledge that VANTEC does not claim ownership over any intellectual property rights related to your company or your pitch. You retain all rights to your intellectual property.

  • VANTEC will not be held liable for any intellectual property disputes arising from your pitch or the information disclosed during your presentation.

10. Limitation of Liability

  • VANTEC is not responsible for any losses, financial or otherwise, arising from your participation in a pitch event, including but not limited to investment negotiations, business decisions, or the content of your pitch.

  • In no event shall VANTEC’s liability to you exceed the amount you paid (if applicable) to participate in the pitch event.

  • VANTEC is not responsible for any technical issues or disruptions that may affect the delivery of your pitch.

11. Indemnification

  • You agree to indemnify and hold harmless VANTEC, its officers, directors, employees, members, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with:

    • Your participation in a pitch event.

    • Any misrepresentations made by you during your pitch.

    • Any legal disputes or claims involving your company, including but not limited to intellectual property disputes and investment-related matters.

12. Non-Disparagement

  • You agree not to make any false, misleading, or defamatory statements regarding VANTEC or its members, either publicly or privately, in connection with your participation in VANTEC or any events VANTEC hosts.

13. Cancellation and Refunds

  • If applicable, any fees paid for pitching are non-refundable, except at the discretion of VANTEC in cases where the event is canceled or significantly altered.

  • If you need to cancel your participation, you must notify VANTEC in writing as soon as possible. Refunds, if applicable, will be handled on a case-by-case basis at the discretion of VANTEC.

14. Amendments

  • VANTEC reserves the right to modify or amend these Terms and Conditions at any time. Any changes will be communicated to you, and your continued participation in VANTEC’s pitch events constitutes acceptance of any such modifications.

15. Governing Law and Jurisdiction

  • This Agreement shall be governed by and construed in accordance with the laws of British Columbia (BC), Canada.

  • Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Vancouver, BC, Canada.

16. Entire Agreement

  • This Agreement constitutes the entire understanding between you and VANTEC with respect to your participation in VANTEC Angel Network Inc. and any pitch events hosted by VANTEC and supersedes any prior agreements, discussions, or communications, whether oral or written.

By submitting your application and/or participating in a pitch event, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
